Terms and Conditions of Service
These Terms and Conditions (the “Agreement”) govern the use of IT services provided by Techno8ive Inn Pvt. Ltd. (“Company,” “We,” “Our,” “Us”) to the client (“Client,” “You,” “Your”). By engaging with our services, You agree to be bound by the terms outlined below.
1. Introduction
1.1 Techno8ive Inn Pvt. Ltd. (“Techno8ive”) provides a range of Information Technology services, including but not limited to network support, software development, IT consulting, cybersecurity solutions, cloud services, system integration, and hardware maintenance (“Services”).
1.2 These Terms and Conditions, along with any specific agreements, service contracts, or work orders entered into between the Company and the Client, represent the entire agreement concerning the provision of Services.
2. Scope of Services
2.1 Techno8ive will provide the Services as agreed upon in writing, through contracts or service level agreements (SLAs) established with the Client.
2.2 Any additional or modified Services that fall outside the original scope will require written approval from both parties and may be subject to additional fees.
2.3 The Services may include, but are not limited to, the following:
- IT consulting and strategy planning
- Software development and customization
- Network infrastructure setup and maintenance
- Cybersecurity solutions
- Cloud computing and data management
- IT support and troubleshooting
- Hardware installation and maintenance
3. Client Responsibilities
3.1 The Client is responsible for providing timely access to necessary hardware, software, and network systems needed for Techno8ive to perform the Services.
3.2 The Client agrees to cooperate and provide relevant information and documentation to allow Techno8ive to perform Services efficiently.
3.3 The Client is responsible for the security and legal compliance of their IT infrastructure and data while using the Services.
4. Fees and Payment Terms
4.1 Fees for Services will be agreed upon in writing through a Service Agreement, Work Order, or other contracts.
4.2 Payments are due according to the terms outlined in the applicable Service Agreement or invoice, and the Client must pay for Services as agreed.
4.3 Techno8ive reserves the right to charge late fees on overdue payments at a rate of [X]% per month, or the maximum rate permitted by law.
4.4 If payment is not received within [X] days, Techno8ive may suspend or terminate the provision of Services until full payment is made.
5. Confidentiality and Data Protection
5.1 Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the Services.
5.2 The Company will comply with applicable privacy and data protection laws in managing and securing Client data.
5.3 Techno8ive will not disclose any confidential information to third parties without the Client’s explicit consent unless required by law.
6. Intellectual Property Rights
6.1 The intellectual property created by Techno8ive in the course of providing Services, including any software, code, or custom solutions, shall remain the property of Techno8ive, unless otherwise agreed upon in writing.
6.2 The Client retains ownership of any intellectual property they provide to Techno8ive for use in the provision of Services.
6.3 Upon full payment, the Client will have a non-exclusive, non-transferable license to use any custom software or solutions developed for them by Techno8ive, subject to the terms of the applicable service agreement.
7. Service Level Agreement (SLA)
7.1 The Company will provide the Services in accordance with the agreed-upon Service Level Agreement (SLA) between the parties. Specific performance expectations, including response times, uptime guarantees, and issue resolution times, will be outlined in the SLA.
7.2 In the event of downtime or service interruptions, Techno8ive will notify the Client as soon as reasonably possible and provide an estimated time for resolution.
7.3 Techno8ive will not be held liable for service interruptions caused by factors outside its control, such as natural disasters, power outages, or third-party service provider failures.
8. Limitation of Liability
8.1 Techno8ive will perform Services in a professional and workmanlike manner. However, we do not guarantee that the Services will be error-free, uninterrupted, or secure.
8.2 The liability of Techno8ive for any claims arising out of the provision of Services shall be limited to the total fees paid by the Client for the specific service that gave rise to the claim.
8.3 In no event will Techno8ive be liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, loss of data, or business interruption.
9. Termination
9.1 Either party may terminate the Agreement by providing written notice to the other party in the event of a material breach that remains uncured after 10 days.
9.2 Techno8ive may terminate or suspend the Services immediately if the Client engages in illegal activities or violates the terms of this Agreement.
9.3 Upon termination, the Client must pay all outstanding fees for Services rendered up to the termination date. Techno8ive will provide assistance with data retrieval and system transition, if applicable.
10. Force Majeure
10.1 Neither party shall be held liable for any failure or delay in performing obligations under this Agreement if the failure or delay is due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, or government regulations.
11. Governing Law and Dispute Resolution
11.1 This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction/Country].
11.2 Any disputes arising from or relating to this Agreement shall be resolved through binding arbitration in [Location], and the decision of the arbitrator shall be final and enforceable.
12. Modifications to the Agreement
